Buying an Office in Dubai Free Zone vs Mainland: Licence, Use and Exit Checklist
The correct office is not only the unit with the right size and price. It is the unit whose legal use, building rules, address and approval path support the activity the company intends to conduct.
Free-zone and mainland arrangements differ by authority and activity. Verify the current requirements with the relevant licensing, planning, building and external authorities before paying a non-refundable deposit.
Start with the company and licensing authority
Define whether the buyer or occupant will be a free-zone company, mainland company, branch, holding vehicle or another structure. The entity that owns the property may not be the entity that occupies it, and the licence authority may require a particular location or evidence of premises.
Dubai Development Authority, for example, licenses businesses by cluster and activity within its jurisdiction and offers free-zone company structures. Other free zones and mainland licensing channels have their own rules. Do not generalise one authority’s approval to another.
Match activity, address and property use
Obtain the full intended activity list, not a broad label such as “consulting” or “trading.” Ask the licensing authority whether each activity can be placed at the exact building and unit and whether external approval, minimum area, specialist fit-out or separation is required.
Check the title and planning or building records for the approved property use. An office title does not automatically permit a clinic, training centre, food activity, laboratory, call centre, regulated financial activity or high-occupancy use.
Use a five-file compatibility test
Do not complete the property review in isolation from the business setup.
Inspect fit-out, occupancy and building operations
For fitted space, verify that partitions, ceilings, MEP changes, fire systems, signage and data rooms were approved and completed as documented. For shell-and-core space, price the design, permits, landlord or building approvals, utilities, deposits, construction access and reinstatement obligations.
Check parking, visitor access, goods or service lifts, loading, operating hours, security, air-conditioning hours and after-hours charges. These can determine whether the office supports the business even when licensing is possible.
Compare ownership and occupancy structures
The business can own and occupy, one group company can own while another occupies, or the investor can own and lease to a third party. Each structure changes the sale contract, lease, licence evidence, VAT or tax analysis, financing, related-party documentation and exit.
Obtain legal, tax and licensing advice before using an SPV or holding company. Some business structures may not require a physical office for their own licence, while the property itself remains a separate investment with its own permitted use and tenant requirements.
Protect the purchase with conditions
Where the purchase depends on an activity or approval, consider a documented condition, verification window or defined consequence if the requirement cannot be met. A broker or seller statement that “similar companies are here” is not a substitute for authority confirmation.
Before transfer, reconcile e-NOC, title, service charges, fit-out liabilities, tenant status if any, keys, access systems, warranties and records. Keep the licensing and property closing workstreams coordinated.
Frequently Asked Questions
Does owning a Dubai office guarantee a business licence at that address?
No. Confirm the licensing authority, activity, address acceptance, property use, building rules and external approvals for the exact unit.
Is a free-zone office always inside the same authority that issues the licence?
Do not assume so. Verify the authority’s current location rules and whether the exact building and unit are within its accepted jurisdiction or premises options.
Should the company or the shareholder buy the office?
The answer depends on legal, tax, financing, licensing, liability and exit objectives. Obtain case-specific professional advice before choosing the buyer entity.
