Dubai Holiday Home Operator Agreement: 18 Clauses Owners Should Check

A holiday home operator agreement should answer two questions before anything else: Is the unit being operated under the required Dubai registration and permit process? How does each dirham of guest revenue move from the booking platform to the owner?

Dubai DET states that individuals or professional operators must register an apartment or villa on the Holiday Homes system to operate it. Registration and permitting are the regulatory layer. The management agreement is the commercial and operational layer, and weak drafting can turn a strong occupancy headline into an unclear net return.

1-2. Identify the licensed operator and permit holder

The contract should identify the legal operator, licence details, responsible contact and the party registering or holding the unit permit. Confirm whether the owner or operator is responsible for renewals, classification, inspections, compliance and any suspension or cancellation process.

Include a warranty that the operator will not market or accept guests before the required approvals are active. The owner should receive copies of current registrations and permits.

3-5. Define gross revenue, deductions and operator fee

“Revenue” must be defined. State whether it includes or excludes platform commissions, payment-processing fees, tourism charges, taxes, cleaning, damage recoveries, cancellation income, late check-out, ancillary sales and refunds.

Then define the operator fee base. A percentage of gross booking value differs from a percentage after platform charges, and both differ from a fee applied to net owner revenue. List every deduction category and require supporting statements.

6-7. Set pricing authority and listing-account ownership

State whether the operator can set daily rates, minimum stays, discounts, last-minute offers and channel promotions without consent. Consider a pricing policy rather than requiring approval for every change.

Identify who owns each platform account, listing content, photographs, reviews, guest history, telephone number and domain. If the operator owns the accounts, the owner needs a transition mechanism on termination.

8-10. Control maintenance, inventory and capital spending

Set a repair approval threshold, emergency authority, procurement rules and evidence requirements. Separate routine consumables, guest-caused repairs, owner maintenance and capital replacement.

Attach an inventory with condition photographs. Define who replaces linen, kitchenware, furniture and appliances, the quality standard, depreciation treatment and what happens to the inventory when the agreement ends.

11-13. Allocate guest damage, deposits and insurance

Explain how guest deposits or card pre-authorisations are taken, documented and applied. State who pursues platform claims, what evidence is required and whether the operator bears losses caused by failure to follow claim deadlines.

Review building, contents, public-liability and short-term-rental insurance with a qualified broker. The agreement should not promise that a platform protection programme replaces insurance without confirming its terms.

14-15. Define owner stays and booking priority

Set the owner’s annual stay allowance, blackout dates, notice period, cleaning charges and treatment of existing bookings. Clarify whether owner use reduces a minimum-income promise or performance target.

If the owner may sell the property, define how viewings, vacant possession, forward bookings and buyer handover are handled.

16-18. Require reporting, payout and clean termination

Set a monthly reporting date, payout date, reconciliation format, access to platform statements and owner audit rights. Define the treatment of chargebacks, refunds and late adjustments.

Termination should cover notice, cause, outstanding bookings, guest deposits, permit cancellation or transfer, keys, inventory, listing accounts, photographs, data, reviews, funds and final statement. Include a deadline and cooperation obligation rather than a vague promise to “handover”.

Frequently Asked Questions

Can an owner operate a Dubai holiday home without an operator?

DET states that individuals or professional operators can register apartments or villas on the Holiday Homes system. The owner must still meet the current registration, permit and operating requirements.

Should operator commission be calculated on gross or net revenue?

The agreement must define it. There is no safe comparison until platform fees, taxes, cleaning, refunds and other deductions are treated consistently.

Who owns the online listing when the agreement ends?

The contract should say. If the operator controls the account, require a practical transition of content, forward bookings, guest communication and data subject to platform rules and law.
