Longstop Dates, Force Majeure and Extension Clauses in Dubai Off-Plan SPAs

The date on a brochure is not the complete handover promise. Before signing a Dubai off-plan SPA, buyers should build a date ladder from the contract, read extension and force-majeure wording, identify notice and evidence requirements, and obtain legal advice on remedies rather than assuming that delay automatically creates a refund or termination right.

Build a date ladder from the executed SPA

Extract every relevant date and label its source: reservation form, sales offer, SPA, payment schedule, construction update and handover notice. Separate an estimated date from a defined contractual completion date and from the date on which the developer may call the buyer to complete.

Record the document hierarchy clause. If marketing material and the SPA differ, the contract may specify which document prevails. Do not reconcile inconsistent dates informally.

Identify automatic and conditional extension periods

Read whether the SPA allows a fixed extension, an extension linked to specified events or both. Note whether the developer must give notice, whether the period is capped, and whether several extension provisions can operate cumulatively.

A six-month grace period, for example, may not be the only timing relief if a separate force-majeure or authority-delay clause also applies. The entire clause set must be read together.

Read the force-majeure definition and evidence standard

Force majeure is not simply another word for delay. Review the events covered, exclusions, causation test, mitigation duty, notice timing and the method used to calculate the extension. Broad references should be interpreted by qualified legal counsel in the context of the full contract and applicable law.

Ask what records would support the event: authority correspondence, site suspension, contractor notices or other contemporaneous evidence. A buyer may not be entitled to all documents, but the question helps distinguish an asserted event from a documented one.

Locate the longstop consequence, not only the longstop date

A longstop date matters because of what the contract says happens after it. The SPA may provide notice, cure, negotiation, termination, refund, continued performance or another mechanism. Do not infer the remedy from the label alone.

Check whether the buyer must be fully compliant with payments and notices to rely on a remedy. Also review whether any termination right is exclusive and what happens to registration, finance costs, commissions or upgrades.

Track notices and buyer compliance

Create a notice file containing the SPA notice addresses, payment receipts, correspondence, construction updates and any extension notices. Missing a contractual method or deadline can create avoidable disputes.

Continue monitoring payment obligations and obtain advice before withholding a payment. A developer delay and a buyer payment default are separate issues that can interact under the contract.

Use official project information and document-specific advice

Dubai regulates off-plan registration through the Interim Real Property Register framework. Check the project and transaction through applicable official channels, but remember that official registration data does not replace interpretation of the buyer's SPA.

Before signing, obtain a document-specific legal review. After a material delay, request a written chronology and legal analysis before choosing to continue, negotiate or pursue a contractual remedy.

Action Checklist

·       Read the contractual consequence after the longstop date

·       Confirm buyer payment and notice compliance

·       Keep a dated file of project updates and correspondence

·       Obtain document-specific legal advice before exercising a remedy

Frequently Asked Questions

Is the brochure handover date legally decisive?

Not necessarily. The executed SPA and its document hierarchy, definitions and extension clauses normally require close review. Obtain legal advice on the specific documents.

Does force majeure allow unlimited delay?

Do not assume so. The answer depends on the clause, event, causation, notice, evidence, mitigation and applicable law.

Can a buyer stop paying after a delay?

A buyer should not withhold payment without document-specific legal advice. Buyer default may create separate contractual consequences.
