Security Deposits, Bank Guarantees and Lease Collateral When Buying Tenanted Commercial Property in Dubai

Buying the property does not automatically place every tenant deposit, bank guarantee or rent instrument under the buyer's control. Reconcile each item against the lease and ledger, verify the holder and beneficiary, document transfer or replacement conditions, and obtain legal and banking advice before treating collateral as part of the investment value.

Create a tenant-by-tenant collateral schedule

For every lease, list the cash deposit, bank guarantee, letter of credit, post-dated cheques, parent guarantee or other security. Record the amount, currency, holder, beneficiary, expiry, renewal mechanism and lease clause that governs it.

The schedule should reconcile to the seller's accounting ledger and physical or electronic evidence. A rent roll entry stating 'deposit held' is not enough.

Verify cash deposits and accounting treatment

Confirm whether a cash deposit is segregated, held in the landlord's account or already applied against an obligation. Review receipts, ledger balances, tenant statements and any correspondence about deductions.

Agree how the deposit is transferred or credited in the completion statement and how the buyer will acknowledge it to the tenant. The buyer should not inherit a repayment obligation without receiving the corresponding value or contractual protection.

Test bank-guarantee transferability and beneficiary details

Read the guarantee itself, not only the lease requirement. Check the issuing bank, beneficiary, exact legal entity, property or lease reference, expiry, auto-renewal wording, demand conditions and governing rules.

Some guarantees may require amendment, reissue or original-document delivery when ownership changes. Coordinate with legal advisers, the tenant and bank early because replacement can take longer than the property transfer.

Reconcile rent instruments and unapplied funds

List post-dated rent cheques, standing instructions, advance rent, credit notes, outstanding arrears and unapplied receipts. Confirm which amounts relate to periods before and after completion and how they appear in the settlement statement.

Do not count a cheque as collected income. Record its date, payee, bank, custody and the procedure if it is replaced or dishonoured after transfer.

Review release, drawdown and restoration rights

The lease may specify when the landlord can use the deposit or call a guarantee, what notice is required and whether the tenant must restore the security after a drawdown. Review how these rights interact with dispute, expiry, assignment and termination clauses.

A security instrument can be commercially weak if it expires before a key lease event or if the demand wording does not match the lease. Obtain document-specific legal advice.

Close the transaction without a collateral gap

Include a collateral delivery list in the sale completion process: originals, amendments, deposit credit, tenant notices, replacement deadlines and responsibility if an item is missing or invalid.

After completion, confirm receipt with each tenant where appropriate and establish a diary for guarantee expiries, cheque dates and deposit adjustments. Continuity requires active administration.

Frequently Asked Questions

Does the buyer automatically receive the tenant's deposit?

Do not assume so. The sale documents and settlement must address who holds the deposit, whether it exists and how value and responsibility transfer.

Can a bank guarantee simply be handed to the buyer?

Sometimes an original may be delivered, but beneficiary change, assignment restrictions or bank amendment may be required. Review the instrument and obtain advice.

Are post-dated cheques the same as paid rent?

No. They are payment instruments subject to presentation, custody and collection risk. Treat them separately from collected income.
