Subletting Property in Dubai: Written Consent, Ejari and Liability Checklist
Subletting in Dubai is not created by a verbal “no objection.” Start with the signed head lease and obtain written landlord consent that matches the proposed subtenant, area, use, term and conditions.

Begin with Article 24 and the head lease
Article 24 of Dubai Law No. 26 of 2007 states that, unless otherwise agreed by the parties, the tenant may not assign the use of or sublet the property to third parties without the landlord’s written consent.
The first review is therefore contractual: does the head lease prohibit subletting, permit it, or make it conditional? A generic clause and a later consent letter must be read together. If they conflict, obtain legal advice before occupancy or payment.
Make the written consent specific
A useful consent is not simply “tenant may sublet.” It should identify the property, original tenant, proposed subtenant or permitted category, full or partial area, use, term, rent or payment arrangement where relevant, number of occupants or desks where applicable, renewal, termination and whether further subletting is prohibited.

· Is the whole property or only a defined area included?
· Does consent end automatically with the head lease?
· Can the landlord withdraw consent and on what grounds?
· Who registers, pays deposits and obtains building access?
Reconcile the head lease and sublease dates
The sublease should not promise possession beyond the rights held under the head lease. Allow time for renewal uncertainty, notice and handover. If the head lease ends early, the subtenant should know what happens to occupancy, prepaid rent, deposit and improvements.
Article 28 of the same law addresses a different situation: transfer of ownership does not affect a tenant’s right to continue under a fixed-term lease. Do not confuse a lawful fixed tenancy with an unauthorised sublease.
Map payment, damage and compliance liability
The original tenant normally remains exposed under the head lease unless the landlord expressly releases or changes that liability. The sublease must state who pays which amount, who holds each deposit, who repairs damage and who responds if the subtenant breaches building or use rules.
Confirm Ejari, building and activity requirements
Confirm the current Ejari or registration route for the specific arrangement before signing. The answer can differ for residential, commercial, business-centre, partial-space and regulated-activity structures. A landlord consent letter does not automatically prove that a licence, building access or official registration can be obtained.
For commercial property, reconcile the business activity, authority, address, unit use, occupancy, signage, fit-out and fire-safety approvals. For residential property, check occupancy, short-term use, sharing rules and community restrictions.
Design the exit before the subtenant moves in
Prepare a signed condition report, inventory, keys and access-card record, meter readings and notice addresses. Set inspection rights, repair windows, deposit reconciliation and the date by which the subtenant must vacate before the head-lease handover.
Unauthorised subletting can support eviction under Article 25. If consent, use or registration is uncertain, pause the arrangement rather than relying on the fact that the subtenant has already paid or occupied.
